Part A

Terms and Conditions

1. Definitions and Interpretation

In these Terms and Conditions, unless the context requires otherwise:

Entrant
any individual who registers for and/or participates in the Event, whether as an individual or as a member of a Team.
Event
the Lumin SaaSathon hackathon, scheduled for 8 to 10 May 2026 at the Venue, or such other dates and location as the Organiser may notify.
Intellectual Property
all intellectual property rights of any kind, including copyright, trade marks, patents, designs, trade secrets, know-how, and all rights of a similar nature, whether registered or unregistered, anywhere in the world.
Organiser
Nitrolabs Limited (NZBN 9429041523209), trading as Lumin.
Pre-Existing IP
any Intellectual Property owned by or licensed to an Entrant or Team prior to the Event, or created independently of the Event.
Project
the SaaS product or MVP created by a Team during the Event.
Team
a group of Entrants (usually 2 to 6 persons) registered to participate in the Event together.
Terms
these Terms and Conditions, the Privacy Policy at Part B, and the Code of Conduct at Part C, as amended from time to time.
Venue
UC EngCore (Rata Building), University of Canterbury, Christchurch, New Zealand.

References to legislation include any amendment, re-enactment, or replacement of that legislation. Headings are for convenience only and do not affect interpretation.

2. Agreement

By completing registration for the Event and/or attending the Event, each Entrant agrees to be bound by these Terms. If an Entrant registers a Team, that Entrant warrants that each Team member has read and accepted these Terms.

The Organiser may update these Terms at any time prior to or during the Event. Updated Terms will be published on the Event website and/or notified to Entrants by email or other reasonable means. Continued participation following such notification constitutes acceptance of the updated Terms.

3. Eligibility and Registration

By registering, each Entrant confirms that:

  • the information they provide is accurate and complete;
  • they are at least 18 years of age, or if under 18, they have disclosed this during registration so the Organiser can confirm any additional consent requirements before the Event;
  • they will comply with all Organiser instructions, Venue rules, and published deadlines;
  • where they register on behalf of a Team, they have authority to bind each Team member to these Terms;
  • they will notify the Organiser in advance of any accessibility, dietary, medical, or safety requirements the Organiser should plan for.

The Organiser reserves the right to refuse, cancel, or amend any registration where reasonably necessary for safety, capacity, eligibility, fairness, or operational reasons. Any such decision by the Organiser is final.

4. Event Format and Rules

The Event is a hackathon in which Teams are expected to build a SaaS product or SaaS MVP during the Event window. The indicative format is:

  • Friday evening: opening ceremony and build kickoff;
  • Saturday: build day with mentoring and workshops;
  • Sunday late morning: submissions, pitching, judging, and closing ceremony.

Entrants may use AI tools, APIs, SDKs, open-source libraries, templates, and their own Pre-Existing IP, provided that they:

  • have the legal right to use that material;
  • comply with all applicable licence terms and platform rules;
  • do not submit material that infringes any third party's Intellectual Property, privacy, confidentiality, or other rights; and
  • clearly disclose any significant pre-existing work if asked by the Organiser or judges.

The Organiser may publish additional build rules, submission requirements, or resource allocation rules before or during the Event. Entrants must comply with those updates where they are reasonably necessary for the fair and safe operation of the Event.

5. Intellectual Property

5.1 Ownership

Each Team retains full ownership of its Project and any Pre-Existing IP it brings to the Event. Nothing in these Terms transfers ownership of any Intellectual Property from an Entrant or Team to the Organiser, sponsors, judges, mentors, or any other party.

5.2 Licence to the Organiser

By participating, each Team grants the Organiser a non-exclusive, perpetual, irrevocable, worldwide, royalty-free licence to:

  • refer to the Team name, Project name, and Project summary;
  • display screenshots, pitch slides, short demo clips, and event photography or video featuring the Project; and
  • use that material for Event delivery, judging, announcing winners, recap and promotional content, and reasonable future promotion of the Event or the Organiser's business.

This licence does not require any Team to release its source code, proprietary algorithms, or confidential information for public disclosure.

5.3 Third-party rights

For the avoidance of doubt:

  • mentors, judges, sponsors, and workshop facilitators do not gain any ownership of or rights to a Project merely by advising, sponsoring, or judging at the Event;
  • sponsorship of the Event does not create any right to use, commercialise, invest in, acquire, or copy any Entrant's Project; and
  • any separate commercial arrangement between a third party and a Team must be agreed directly with the relevant Team after the Event on arms-length terms.

6. Prizes, Submissions, and Judging

6.1 Prize details

Prize details will be published on the Event website and may be updated as sponsors are confirmed. All prizes, including sponsor-supported prizes, are subject to final availability. The Organiser may substitute a prize of similar value if a published prize becomes unavailable.

6.2 Submissions and judging

The current judging format is as follows (subject to change at the Organiser's discretion):

  • Submission deadline: Sunday 10 May 2026, approximately 11:00 am – 12:00 pm.
  • Presentation format: 5-minute demo followed by 3-minute Q&A.
  • Judging panel: representatives of the Organiser, invited industry judges, and approved sponsor representatives.

6.3 Scoring criteria

  • Innovation (30%): originality, creativity, and distinctiveness.
  • Execution (30%): product quality, completeness, technical delivery, and whether the MVP works.
  • Impact and Value (20%): problem quality, user value, and commercial or practical usefulness.
  • Presentation and Demo (20%): clarity, communication, and quality of the live pitch.

6.4 Organiser discretion

The Organiser may:

  • verify eligibility and submission compliance before awarding any prize;
  • withhold or revoke a prize if a Team materially breaches these Terms, the Code of Conduct, applicable law, or Event rules; and
  • make the final judging decision, which is binding once announced.

Entrants are solely responsible for any personal tax or reporting obligations arising from a prize.

7. Health, Safety, and Venue Rules

Each Entrant must:

  • follow Venue access rules, evacuation procedures, and all directions of Venue staff, security, or the Organiser;
  • report injuries, hazards, near misses, or concerning behaviour to the Organiser as soon as practicable;
  • use equipment, power, cables, and shared spaces safely and responsibly;
  • not enter restricted or staff-only areas unless authorised; and
  • not engage in conduct that puts themselves or others at risk, including intoxicated, aggressive, or reckless behaviour.

In the event of an emergency, Entrants must follow the emergency instructions issued at the Venue and prioritise immediate safety.

8. Media Consent

The Event may be photographed, filmed, live-posted, or otherwise documented by the Organiser or its agents for Event operations and promotional purposes.

By participating, each Entrant consents to the Organiser capturing and using reasonable Event photography, video, audio, and recap content that includes the Entrant's likeness or voice.

If an Entrant does not wish to be photographed or filmed, they must notify the Organiser before or at check-in. The Organiser will use reasonable efforts to accommodate such requests, but cannot guarantee that an Entrant will not appear incidentally in background Event coverage.

The Organiser is not responsible for photographs or recordings taken by other attendees. All attendees are asked to respect the privacy of others and to seek consent before photographing or recording fellow Entrants.

9. Limitation of Liability

9.1 General

To the maximum extent permitted by law, the Organiser's total aggregate liability to any Entrant arising out of or in connection with the Event (whether in contract, tort including negligence, equity, or otherwise) is limited to NZD $500.

9.2 Exclusions

To the maximum extent permitted by law, the Organiser is not liable for:

  • loss of, theft of, or damage to personal property brought to the Event;
  • any indirect, consequential, special, or incidental loss or damage (including loss of profits, revenue, data, or opportunity);
  • disruption caused by Venue, network, sponsor, platform, or third-party service issues outside the Organiser's reasonable control; or
  • any act or omission of a co-Entrant, mentor, judge, sponsor, or other third party.

9.3 Consumer guarantees

Nothing in these Terms is intended to exclude or limit any rights or remedies that cannot lawfully be excluded or limited, including under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 (New Zealand).

10. Indemnity

Each Entrant indemnifies the Organiser and its officers, employees, contractors, and agents against all claims, losses, costs (including reasonable legal costs), damages, and liabilities arising out of or in connection with:

  • the Entrant's breach of these Terms;
  • any Intellectual Property infringement or other rights infringement arising from the Entrant's Project or use of third-party materials; or
  • any negligent, reckless, or unlawful act or omission of the Entrant during the Event.

11. Cancellation and Changes

The Organiser reserves the right to make reasonable changes to the Event, including the schedule, Venue, sponsors, judges, prize pool, workshop lineup, communications tools, or submission process.

If the Event is cancelled or materially altered by the Organiser, the Organiser will notify registered Entrants as soon as reasonably practicable. The Organiser will not be liable for any costs incurred by an Entrant in connection with a cancelled or altered Event, except to the extent required by law.

An Entrant may withdraw from the Event at any time by notifying the Organiser. No compensation is payable on withdrawal.

12. General Provisions

Governing law
These Terms are governed by and construed in accordance with the laws of New Zealand. The parties submit to the non-exclusive jurisdiction of the courts of New Zealand.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, it will be severed to the minimum extent necessary and the remaining provisions will continue in full force and effect.
Entire agreement
These Terms (including Parts A, B, and C) constitute the entire agreement between the Organiser and each Entrant in relation to the Event and supersede all prior representations, understandings, and agreements.
No waiver
A failure or delay by the Organiser to exercise any right under these Terms does not operate as a waiver of that right.
Assignment
An Entrant may not assign or transfer any rights or obligations under these Terms without the Organiser's prior written consent.

Part B

Privacy Policy

1. Introduction

This Privacy Policy explains how Nitrolabs Limited (trading as Lumin) (“we”, “us”, “our”) collects, uses, stores, and discloses personal information in connection with the Lumin SaaSathon (“Event”).

We are committed to protecting the privacy of all Entrants in accordance with the Privacy Act 2020 (New Zealand) and applicable data protection laws.

2. Information We Collect

We collect personal information that is reasonably necessary to organise and run the Event. This may include:

  • Registration details: name, email address, phone number, university or institution, course of study, team details, and role.
  • Operational details: dietary requirements, accessibility needs, medical information relevant to safe participation, and emergency contact information.
  • Participation records: attendance, submissions, judging materials, prize fulfilment records, and feedback.
  • Event content: project summaries, pitch materials, photographs, video, and audio captured during the Event.
  • Resource allocation records: records relating to the distribution and management of event credits, API keys, or other provided resources.
  • Technical data: limited log or usage data from Event platforms and tools, where necessary for Event operations.

3. How We Use Your Information

We use collected information to:

  • administer registrations, team formation, and participation;
  • plan Venue access, catering, and reasonable accessibility or safety support;
  • operate Event communications, workshops, mentoring, judging, and prize fulfilment;
  • manage Event security, safety, and incident response;
  • publish winners, recap content, and reasonable Event promotion;
  • review and improve future versions of the Event; and
  • comply with applicable laws and regulatory obligations.

4. Disclosure of Information

We may share relevant personal information with the following categories of recipients:

  • Service providers and platforms used to operate the Event (such as registration, communications, media, or judging tools);
  • Venue operators and delivery partners where required for access, safety, logistics, or emergency response;
  • Prize providers where necessary to fulfil a prize;
  • Emergency services, security, law enforcement, or other authorities where required by law or reasonably necessary to protect the safety of any person; and
  • Professional advisers (legal, accounting, or insurance) where reasonably necessary.

We do not sell Entrant personal information. We will not share Entrant contact details with sponsors for general marketing purposes unless the Entrant has separately and expressly consented, or the sharing is strictly necessary for a specific prize or operational purpose.

5. International Transfers

Some service providers used for registration, communications, AI tooling, or Event delivery may store or process information outside New Zealand. Where this occurs, we will use reasonable safeguards and engage reputable providers with appropriate data protection measures.

6. Data Retention

We will retain personal information only for as long as reasonably necessary to fulfil the purposes described in this Privacy Policy, or as required by law. When personal information is no longer needed, we will take reasonable steps to securely delete or de-identify it.

7. Security

We take reasonable technical and organisational measures to protect personal information against unauthorised access, loss, alteration, or disclosure. However, no method of electronic storage or transmission is completely secure, and we cannot guarantee absolute security.

8. Your Rights

Under the Privacy Act 2020 (New Zealand), you have the right to:

  • request access to the personal information we hold about you;
  • request correction of any inaccurate or incomplete personal information; and
  • make a complaint to the Office of the Privacy Commissioner if you believe we have breached the Privacy Act 2020.

9. Cookies and Analytics

The Event website may use cookies or similar tracking technologies for analytics and functionality purposes. By using the Event website, Entrants consent to the use of cookies as described in any cookie notice displayed on the website.

10. Changes to This Policy

We may update this Privacy Policy from time to time. Any material changes will be published on the Event website and/or notified to Entrants. The date of the most recent update is shown at the top of this document.

Part C

Code of Conduct

1. Purpose

The Lumin SaaSathon is built around collaboration, learning, and innovation. This Code of Conduct exists to ensure that all participants — Entrants, organisers, mentors, judges, sponsors, workshop facilitators, and volunteers — have a safe, respectful, and productive experience.

By registering for and attending the Event, every attendee agrees to comply with this Code of Conduct and all Event rules. The Organiser will enforce this Code throughout the Event.

2. Expected Behaviour

All attendees are expected to:

  • treat others with respect, patience, and professionalism;
  • contribute to an inclusive environment for people of all backgrounds, identities, and skill levels;
  • accept feedback, boundaries, and Organiser directions in good faith;
  • use Event resources, including AI credits, API keys, Venue space, and communication channels, responsibly; and
  • alert an organiser immediately if they observe someone in distress or a safety concern.

3. Unacceptable Behaviour

The following behaviour is strictly prohibited:

  • harassment, discrimination, bullying, intimidation, threats, stalking, or unwanted sexual attention;
  • hateful, abusive, or demeaning language or imagery;
  • deliberate disruption of workshops, judging, demonstrations, or shared working spaces;
  • misuse of Event credentials, API keys, accounts, Wi-Fi, or other technical resources; and
  • unsafe, illegal, reckless, or dishonest conduct, including cheating, impersonation, or theft.

4. Enforcement

The Organiser may take any reasonable action in response to a breach of this Code, including (without limitation):

  • issuing a verbal or written warning;
  • removal of the Entrant from the Venue and/or the Event;
  • cancellation of a submission or disqualification from judging;
  • revocation of prize eligibility; and/or
  • referral to Venue security, the University of Canterbury, or the New Zealand Police, as appropriate.

Any decision by the Organiser under this section is final and not subject to appeal.

5. Reporting

Any Entrant who experiences or witnesses a breach of this Code should report it to the Organiser as soon as possible, either in person or by email at justus.huneke@luminpdf.com. Reports will be treated with discretion and seriousness.
